Senior Counsel, Physician Enterprise

As Senior Counsel - Physician Enterprise at Endeavor Health, you will provide legal advice and counsel regarding relationships and transactions between Endeavor Heath and its various subsidiaries and affiliates, employed physicians, independent physicians, independent physician groups, and other providers of health care services.

As a part of this team, you will work closely with Endeavor Health business leaders supporting contract negotiations and preparing and reviewing contracts for health care services. You will be responsible for analyzing and evaluating risk of contracts and transactions in order to guardrail the organization against any legal gaps. To be successful in this role, you should be able to work independently in a constantly changing and fast-paced environment. You will be expected to handle various physician contractual relationship and transactions and maintain current knowledge and provide guidance pursuant to applicable laws, regulations and internal policies and procedures.

  • Hours: Monday-Friday, during normal business hours

  • Required Travel: travel to other Endeavor Health locations will be required

What you will do:

  • Serves as the primary, internal point of contact/legal advisor for business leaders/partners or internal clients requiring support from the physician enterprise team. Provide practical and timely solutions to business partners (wherever applicable).

  • Drafts, reviews, negotiates and finalizes a broad variety of physician employment and independent physician services contracts.

  • Structures and negotiates business transactions, performs due diligence, counsels clients, performs legal research and supervises closings. Drafts and revises a variety of legal documents including contracts, resolutions, legal opinions and escrow agreements.

  • Understands and applies policies and procedures related to physician contracts. Ensures that policies for all such areas are updated and all policy changes are documented and communicated.

  • Understands business requirements and the organization's risk tolerance. Effectively manages risk and compliance issues associated with arrangements with employed physicians, independent physicians, independent physician groups, and other providers of health care services.

  • Maintains business focus to ensure the contractual terms and conditions protect the company and minimize risk. Supports with underlying analysis and research required to evaluate risk as it relates to the assigned area.

  • Keeps the business leadership advised of potential issues or risks throughout the contract development process till closure.

  • Remains abreast of all relevant federal, state, and local laws related to corporate and health care issues.

  • Collaborates with the internal team members to share learning and experiences based on contract agreements and negotiations.

  • Provides strategic legal analysis and guidance to the organization related to corporate and health care issues and as requested on a case-by-case basis.

What you will need:

  • Education: Juris Doctorate (J.D.) degree from an accredited law school

  • Certification: Admitted to practice in Illinois or other state with approval.

  • Experience: 5+ years of relevant and/or progressive experience at a law firm or in-house legal department, preferably with focused role and responsibilities relating to physician contracting, transactions, and healthcare regulatory law.

  • Unique or Preferred Skills:

    • Ability to plan and execute strategic initiatives.

    • Ability to negotiate and manage stakeholders.

    • Excellent verbal and written communication skills.

    • Strong negotiation skills.
