Corporate Paralegal

A well-established company in Northern Virginia is seeking an experienced Corporate Paralegal to join its in-house Legal team. This is a high-visibility role offering broad exposure across corporate governance, securities compliance, and commercial matters, working closely with cross-functional teams including Finance and senior legal leadership.

About the Role

The Corporate Paralegal will support a wide range of corporate and compliance matters, assist with regulatory filings, and play a key role in maintaining corporate records and governance documentation. This position reports to senior legal leadership and is ideal for a detail-oriented professional looking to grow within a dynamic, fast-paced environment.

Responsibilities

• Assist with the preparation, review, and coordination of regulatory and corporate filings
• Support compliance obligations and coordinate with external counsel and internal stakeholders
• Maintain corporate records and governance documents, including board materials, minutes, consents, and organizational documents
• Assist with equity and stock administration-related legal tasks in collaboration with internal teams
• Conduct legal and factual research; prepare summaries and memoranda
• Provide litigation support, including document collection and coordination with external counsel
• Support legal operations initiatives including process improvements and vendor coordination
• Assist with drafting and negotiation of commercial contracts and NDAs under attorney supervision
• Manage timelines and project plans for key legal deliverables
