Role Summary

This role ensures the integrity and accuracy of corporate governance processes across the organization. You'll support Board and Committee operations while maintaining critical corporate records and compliance requirements. It's an opportunity to work closely with senior leadership and play a key role in organizational transparency and governance.

Key Accountabilities

  • Maintain and update official corporate records, filings, and governance documentation

  • Prepare Board and Committee agendas, materials, and meeting packages

  • Manage and update organizational charts across all corporate entities

  • Coordinate proxy material preparation, printing, distribution, and filings

  • Maintain stockholder records and liaise with registrar and transfer agents

  • Ensure required approvals are obtained in accordance with regulatory standards

  • Respond to inquiries from shareholders and internal stakeholders

  • Partner with leadership to support governance best practices and compliance

Education & Experience

Required:

  • Associate's Degree or equivalent combination of education and experience

  • 4+ years of corporate secretarial experience preferably with a public company/paralegal

  • Experience supporting executive-level leadership

Preferred:

  • Experience in corporate governance or financial services industry

  • Familiarity with regulatory filings and board operations
