This is primarily a task-focused job, requiring a somewhat authoritative, directive leadership style that encourages results-driven, task-oriented collaboration.


As General Counsel of NBH's two banks, you will advise the Chief Administrative Officer & General Counsel of National Bank Holdings Corporation (CAO), senior management and other leaders on a variety of legal issues that arise from the day-to-day operations of two bank charters and a publicly traded bank holding company operating in a heavily regulated environment. You will be responsible for a variety of tasks including overseeing and advising on SEC and NYSE compliance, corporate governance, and public company-related issues, maintaining corporate books and records, assisting with the preparing materials/documents for board, board committee and shareholder meetings of National Bank Holdings Corporation and its bank and non-bank subsidiaries (collectively, the "Company"), identifying and communicating complex issues in an understandable manner to non-legal professionals, and providing analysis and legal counsel on various corporate, banking, compliance and other legal issues affecting the Company. The role will require the development of key relationships both internally and externally, including with regulators and external counsel, and will lead the legal department in meeting key objectives and strategies of the organization. Additionally, the General Counsel is expected to negotiate, review, modify and document contractual agreements with vendors and other third parties, coordinate with and manage outside legal firms retained by the Company, and play a key role in special projects, including mergers and acquisitions, digital banking initiatives and other Company initiatives. Mosty importantly, you are expected to build and maintain a great rapport with internal clients and fellow associates, and treat others with respect and consideration regardless of their status or position. You are expected to represent the Company in a highly professional manner.


All associates are expected to maintain current knowledge and consistent compliance with regulations and bank policies and procedures related to the position, including but not limited to Bank Secrecy Act (BSA) and Office of Foreign Assets Control (OFAC) requirements.


This position has supervisory responsibilities for other members of the legal team.


Minimum Requirements: To be considered for this position, you must possess the following qualifications.



  • Juris Doctorate degree from an ABA accredited law school or equivalent.
  • Active member of the bar, duly licensed and authorized to practice law as an attorney and in good standing in at least one U.S. jurisdiction.
  • 8+ years progressive legal, corporate or bank experience.
  • 5+ years progressive experience in dealing with federal and state regulations.
  • 3+ years of previous supervisory or management experience.



Desired Qualifications: To be considered an ideal candidate, you should possess some of the following qualifications:



  • Experience working with a publicly traded banking corporation or advising such a corporation as part of a private law firm specializing in securities and corporate law.
  • Experience with corporate governance issues and corporate secretarial duties.
  • 12+ years progressive legal, corporate or bank experience.
  • 6+ years of previous supervisory or management experience.

  • Strong client service skills with the ability to interact in a professional manner with both internal and external clients.
