Assistant General Counsel

Commercial Contracts and Compliance

Summary: Provides broad-based legal support to Chromalloy Gas Turbine LLC and its subsidiaries on all aspects of commercial contracting, including, but not limited to, negotiating, drafting and revising sales, procurement, distribution and supply chain contracts, non-disclosure agreements, standard terms and conditions, and other general commercial legal work. This includes drafting of contracts using existing template agreements, legal review, analysis and revision of new and existing agreements. Position requires consistent interaction with the sales, business development and procurement teams and other members of the legal department in support of Chromalloy's business endeavors. The ideal candidate will have a background or substantial experience with domestic and international compliance topics (export controls, anti-trust, cross-border transactions, cybersecurity and data privacy) in a regulated industry (preferably aerospace and defense) and how they impact commercial strategy, contract negotiations and contractual provisions.

Primary Accountabilities:



  • Manage detail-oriented and time sensitive projects related to commercial contracts where accuracy, meeting deadlines and quality are critical.
  • Coordinate with trade compliance, IT, engineering, operations, EH&S and other business functions.
  • Support continuous improvement and policy deployment activities.
  • Develop and conduct training sessions on best practices for commercial contracts.
  • Identify and advise on compliance concerns as part of contract strategy and preparation
  • Gather information from multiple sources and coordinate responses with other members of the legal department and business functions in preparing commercial contracts and developing training and providing negotiation guidance.
  • Draft and revise supply chain related agreements, license agreements, independent contractor agreements, non-disclosure agreements, terms and conditions, and related customer contracts.
  • Work with the business units to research historic contract administration and provide guidance on contract interpretation, negotiating strategy and termination rights.
  • Perform detailed analysis of commercial contracts, regulations, cases and providing results either orally or by written memorandum to key stakeholders.


  • Track key agreement termination, expiration and renewal dates.


  • Ensure contracting practices comply with current regulations and company policies
  • Support business personnel with claim management and dispute resolution, as necessary


  • Support the other members of the legal team, as needed.



Challenges:



  • Managing multiple high-priority requests for assistance with time sensitive deadlines.
  • Changing business needs and priorities will require someone who can adjust quickly with good composure and solid planning / prioritization skills.
  • Matrixed corporate structure must be learned and navigated to be successful.
  • If coming from outside the aviation industry, a substantial learning curve can be expected.

Minimum Requirements:

Education: J.D. degree.

Experience: 7-10 years of progressive experience including at least 5 years in an equivalent in-house role in a similar operating

environment. Law firm experience with heavy focus on commercial contracts drafting is a plus. Aviation industry experience and a

strong compliance background is preferred.
