The firm is recruiting a full-time entry level Corporate Legal Assistant for the Capital Markets practice. The firm is also recruiting full-time entry level Corporate Legal Assistants for the Investment Management practice. These positions are for summer start dates (exact dates to be determined) and are appropriate for class of 2025 graduating seniors as well as other entry level candidates seeking a job change.

RESPONSIBILITIES INCLUDE:

  • Preparing and revising basic corporate documents
  • Assisting lawyers with transaction due diligence
  • Preparing for SEC filings and closings, including tracking and maintaining closing documents and checklists
  • Fulfilling post-closing responsibilities, including closing set completion and distribution
  • Contributing to knowledge management efforts within practice group
  • Coordinating with clients, lawyers, government agencies, service companies, vendors and firm staff



INVESTMENT MANAGEMENT POSITION

RESPONSIBILITIES INCLUDE but are not limited to:

  • Taking a team-focused and collaborative approach to:
  • Support attorneys advising premier private equity clients in connection with the organization of some of the world's largest and most prestigious funds
  • Communicate with clients, lawyers, corporate service companies and government agencies on a regular basis
  • Develop a strong practice area knowledge, assist with business development efforts and contribute to general and practice specific trainings
  • Working in a detail-oriented and organized manner to:
  • Prepare, revise and maintain various fund-related documents, including investor subscription documents, securities filings and tax forms
  • Manage entity formation processes and draft, review and organize corporate governance documents
  • Facilitate fund closings, including by maintaining closing checklists and drafting closing notices to investors


REQUIREMENTS FOR BOTH POSITIONS

  • Bachelor's degree and demonstrated academic achievement, minimum GPA of 3.5
  • Willingness to make a two-year commitment to the firm
  • Ability to work overtime and ability travel regionally when necessary
  • Proven analytical skills and excellent interpersonal, written and oral communication skills
  • Strong organizational skills, efficiency and attention to detail
  • Ability to prioritize requests under time pressure and handle multiple, detailed tasks
  • Motivated, work efficiently without direct supervision, take ownership of discrete projects and develop specialized expertise
  • Energetic and enthusiastic about expanding knowledge of practice group


  • Comfort level with Microsoft Office applications
