Description & Requirements
We are currently seeking a Corporate Counsel to be part of the legal/risk management team, which is a key component of the firm's organization structure. Members of the team must demonstrate leadership, creativity, and good judgment in helping the firm manage business risks while working closely with business leaders to find practical and creative solutions to problems.
The Corporate Counsel will provide a proactive, strategic and a collaborative approach to various legal issues within a number of internal firm service teams and develop solutions that balance prudent legal advice with effective risk assessment. It is expected the Corporate Counsel will also help oversee specific subject area(s) for counsel to the firm. This position will support the Chief Legal Officer and have significant interaction with the firm's partners, management, and all functional areas. Additionally, because the legal department manages a large volume of requests, individuals in this role will need a strong ability to fluidly manage workload with internal client priorities, meet agreed deadlines, and prioritize work consistent with the firm's business objectives and requirements.
How you will contribute:
  • Provide general counsel to the firm, as well strategic counsel on certain discrete subject areas (e.g. M&A, contract review). It is expected that this individual will have a high level of M&A experience
  • Support the firm's quality control mission
  • Work alongside the Chief Legal Officer on a number of strategic initiatives
  • Monitor privacy laws and data security requirements for protection of confidential client information
  • Manage the efficient use of outside counsel
  • Develop an understanding and appreciation of business risks and use this knowledge to manage risk and craft creative legal solutions to challenges facing the firm
  • Provide advice regarding laws, regulations, and professional standards relating to the accounting profession
  • Draft, revise, and negotiate professional service agreements and various other contracts with clients, vendors, and other third parties.
We are looking for people who have Forward Vision and:
  • Must possess sound business judgement, strategic thinking, interpersonal skills, flexibility, willingness to work and develop skills/knowledge on a broad variety of legal matters, superior writing and verbal communication skills, and strong legal research and writing skills
Minimum Qualifications:
  • Juris Doctorate
  • 10 years or more of experience
Preferred Qualifications:
  • Specific experience in one or more of the following areas are helpful but not required:
    • Defense of professional liability claims
    • Employment, IP, or bankruptcy law
    • M&A, including asset purchase and related agreements
    • Accounting, tax and/or financial regulatory matters
Certifications:
  • Admission to state bar in good standing in a state in which the firm has an office
